These Terms of Service ("Terms") govern your use of the RootControl software-as-a-service platform at rootcontrol.io and related applications (the "Service"), operated by ShelfControl LLC ("RootControl", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity.

1. Account Registration

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of registration information and for safeguarding your account credentials. Notify us immediately at hello@rootcontrol.io of any unauthorized access or suspected breach of your account.

2. Subscription Plans, Billing, and Payment

Plans

The Service is offered on subscription tiers described at rootcontrol.io/pricing. Subscription fees are billed monthly in advance, beginning on the date you activate your subscription.

Auto-renewal

Your subscription automatically renews each month at the then-current rate until you cancel.

Payment

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees, taxes, and any usage-based overages (such as SMS overages billed at the carrier's pass-through rate plus a 20% margin, additional user seats beyond your plan's included counts, and AI-usage top-ups beyond the included monthly cap).

Price changes

We may change subscription pricing with at least 30 days' advance notice to your account email. Changes take effect at your next renewal.

Failed payments

If a payment fails, we will attempt to retry. If payment is not received within 14 days, we may suspend or terminate your access until the balance is paid.

3. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by emailing us. Cancellation takes effect at the end of your current billing period; you will retain access until that date. Subscription fees are non-refundable except where required by law.

4. Free Trials and Promotional Offers

If we offer a free trial or promotional rate, the standard subscription rate begins automatically at the end of the trial or promotional period unless you cancel before then. We may modify or terminate trial and promotional offers at our discretion.

5. Customer Data and Ownership

You own your data. All information you upload to or generate within the Service ("Customer Data") remains your property. You grant us a limited, non-exclusive license to host, process, transmit, store, back up, and (for Customer Data you elect to publish through Service features such as your tenant brand site, public-facing customer reviews, and outbound marketing campaigns) display, publish, and distribute Customer Data solely as necessary to provide and improve the Service.

Export

You may export your Customer Data at any time during your subscription. Upon cancellation, you have 30 days to retrieve your data before it is deleted from our active systems.

Backups

We maintain regular backups of Customer Data. Backup copies may persist for up to 90 days after deletion from active systems.

Processor relationship

With respect to personal information about your customers, employees, and other individuals included in Customer Data, you are the controller and we are the processor. See our Privacy Policy for details, and contact us for our Data Processing Addendum.

6. User-Generated Content

Certain Service features (including tenant brand sites, customer-facing reviews and testimonials, marketing campaigns, and any other functionality that publishes Customer Data to third parties or the public internet) allow you to make Customer Data publicly accessible ("Published Content").

Your responsibility

You are solely responsible for the legality, accuracy, and ownership of Published Content. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to publish each item of Published Content, including consents from any individuals whose name, likeness, voice, or quotation appears in it.

No endorsement

Published Content reflects the views of the publishing customer, not RootControl or ShelfControl LLC. We do not pre-screen, verify, or endorse Published Content, and its presence on Service-hosted pages does not constitute our adoption or approval.

Removal and moderation

We may, at our sole discretion and without prior notice, remove, disable, or refuse to display any Customer Data (including Published Content) that we believe (a) violates these Terms, (b) is alleged to infringe a third party's rights, (c) is unlawful or harmful, or (d) creates legal or reputational risk to RootControl or other users. We are under no obligation to monitor or moderate Customer Data, but we reserve the right to do so. Copyright complaints are handled under the procedure in Section 9.

8. Email and Messaging Compliance

When you use the Service to send email, SMS, or other electronic communications to your customers or prospects ("Outbound Messages"), you are the "sender" for purposes of applicable communication laws, including CAN-SPAM (15 U.S.C. §7701 et seq.), the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), the GDPR and ePrivacy Directive, and any analogous state or international law. You are responsible for compliance.

Your warranties

For each Outbound Message, you represent and warrant that:

Platform safeguards

To help you meet these obligations, the Service automatically (a) maintains a per-tenant suppression list that prevents re-sending to any recipient who has opted out, lodged a spam complaint, or hard-bounced; (b) injects a one-click unsubscribe link and your registered business postal address into every outbound marketing email; and (c) blocks campaign sends from any tenant whose business postal address has not been recorded. These safeguards do not relieve you of legal responsibility for the messages you send.

Suspension for abuse

We may, at our sole discretion, throttle, suspend, or terminate your access to messaging features (with or without prior notice) if your sending generates spam complaints, bounce rates, or abuse reports above thresholds we determine are necessary to protect the Service, our sending reputation, and other customers. Abuse reports may be sent to abuse@rootcontrol.io.

9. Copyright and DMCA Notices

RootControl respects the intellectual property rights of others and complies with the notice-and-takedown procedures of the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe that material accessible on or from the Service infringes your copyright, you may submit a notice of claimed infringement to our designated agent.

Counter-notification

If you believe material you posted was removed by mistake or misidentification, you may submit a counter-notification to the designated agent above containing the elements required by 17 U.S.C. §512(g)(3). Upon receipt of a valid counter-notification, we may restore the material in 10 to 14 business days unless the original complainant files a court action seeking to restrain the infringement.

Repeat-infringer policy

We will, in appropriate circumstances, terminate the accounts of users determined to be repeat infringers.

10. Service Availability

We use commercially reasonable efforts to maintain Service availability and target 99.5% monthly uptime, excluding scheduled maintenance, third-party service failures, and events outside our reasonable control. The Service is provided "as is" and "as available."

11. Third-Party Integrations

The Service integrates with third-party services (including Stripe, QuickBooks Online, Twilio, Mailgun, MailerSend, Google Maps Platform, the National Weather Service, and AI providers such as Anthropic). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, security, or content of third-party services.

12. Intellectual Property

The Service (including all software, designs, logos, documentation, and content provided by us) is owned by ShelfControl LLC and protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription. You retain all rights in your Customer Data.

13. Feedback

If you provide us with feedback or suggestions about the Service, you grant us an unrestricted, perpetual, royalty-free license to use that feedback to improve the Service, with no obligation to compensate you.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, that defects will be corrected, or that the Service will meet your specific requirements.

15. Limitation of Liability

To the maximum extent permitted by law, in no event will RootControl or ShelfControl LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages. Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless RootControl, ShelfControl LLC, and our affiliates, officers, employees, and agents from any third-party claim, loss, or liability arising out of (a) your violation of these Terms; (b) your violation of any law or third-party right; or (c) Customer Data, Published Content, or Outbound Messages you upload, publish, or transmit through the Service.

17. Termination

We may suspend or terminate your access to the Service for any violation of these Terms, non-payment, or as required by law. You may terminate by canceling your subscription. Sections that by their nature should survive termination (including Customer Data ownership, payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before taking effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

20. Entire Agreement

These Terms, together with our Privacy Policy and any order forms or addenda we sign with you, constitute the entire agreement between you and ShelfControl LLC regarding the Service and supersede any prior agreements.
